Terms of Service
The short version
- You must be 18 or older. Teams share workspaces, projects and credits.
- You pay with prepaid credits. Every paid action shows its price first, and a job never costs more. Failed jobs are refunded automatically.
- Plan credits roll over for one billing cycle. Credit packs last 12 months.
- Cancel any time in one click. We email you before every renewal and before a trial turns paid. Refunds are self-serve (section 5.8).
- Your inputs and outputs are yours. You can use outputs commercially on every plan, unless a model's license says otherwise; we show that next to the model.
- We don't train AI models on your content unless your workspace opts in.
- Every output carries content credentials marking it as AI-generated. Don't remove them.
- Using a real person's face or voice needs their consent. Public figures and minors are blocked.
- If we block something, we tell you which rule it hit, and a person reviews your appeal.
The full terms below are what apply.
1. About these terms
1.1 Who we are. Nineplane is run by [LEGAL ENTITY NAME], a [ENTITY TYPE] organized under the laws of [STATE], at [ADDRESS] ("Nineplane", "we", "us"). These terms cover the Nineplane website and studio, Planes MCP, the Nineplane API, and related tools and support (the "Service").
1.2 Other documents. The Acceptable Use Policy, the Copyright and DMCA Policy and the pricing page are part of these terms. The Privacy Policy explains how we handle personal data. A signed order form controls where it conflicts with these terms.
1.3 Accepting these terms. You accept these terms by creating an account or using the Service. We record which version you accepted and when. If you accept for an organization, you confirm you can bind it, and "you" includes it.
2. Accounts and workspaces
2.1 Age. You must be 18 or older and able to make a binding contract where you live. We ask you to confirm your age at sign-up, and may ask for more proof before higher-risk features such as those in section 4.1. We close any account we learn belongs to someone under 18.
2.2 Who can't use the Service. Anyone we have banned, anyone located or ordinarily resident in a region under comprehensive US sanctions, and anyone on a US restricted-party list.
2.3 Signing in. Sign-in is passwordless: an email link, a passkey, or Google or Apple. Your email and devices are your keys. Keep them secure, don't share your sign-in, and tell us at once at [CONTACT EMAIL] if someone else may have used your account. You are responsible for activity in your account, except after you tell us or when our security fails.
2.4 Workspaces and roles. Every account has a personal workspace, and you can create or join team workspaces. In a team workspace, owners control billing and can delete it, admins manage members, settings, spend caps and the training setting (section 6.6), and members create projects and spend credits within the caps admins set. Projects, content and credits stay with the workspace when a member leaves. Ownership as between a member and the organization is for their own arrangement.
3. The Service
3.1 What Nineplane does. Nineplane is an AI video studio. It includes:
- Peel, which splits a video into layers and exports them;
- Recast, which transfers motion, swaps subjects and restyles footage;
- Splice, which plans and assembles an edit from a reference edit and your material;
- image and video generation with third-party models;
- Planes MCP, which lets AI assistants such as Claude and ChatGPT use these tools for you; and
- an API for developers.
The pricing page states every plan limit (credits, concurrent jobs, length, resolution, storage) as a number. Anything ever called unlimited shows its fair-use limits as numbers and works the same on the web, Planes MCP and the API.
3.2 Third-party models. Some tools run on other companies' models, today including ByteDance's Seedance 2.5, reached through fal.ai and BytePlus ModelArk. The studio shows each model's provider, price and conditions, such as a limit on commercial use or a required watermark. The full list is at /legal/models. Those conditions apply to that model's outputs and are part of these terms. If a provider changes or withdraws a model, we tell you as early as we can, and your credits stay usable on other tools.
3.3 AI assistants and agents. An AI assistant on Planes MCP, or a program with your API key, acts for you. The jobs it starts are yours and are charged to your workspace. Every paid tool call carries a maximum price and is refused if the price is higher. Agents can't exceed the spend caps you set per session, day and month. No tool can buy credits or change your plan. The assistant's provider handles what passes through it under its own terms.
3.4 API. Keep API keys secret: anyone with a key can spend credits up to its caps. If you build an app on the API, you are responsible for its users and must hold them to rules at least as protective as the Acceptable Use Policy, including its consent rules for real people.
3.5 Beta features and changes. Beta or preview features may change, be withdrawn or be less reliable, with the same price and refund protections. If we remove a paid feature or model that is a main part of your plan, we give 30 days' notice (unless a provider withdraws it sooner), and you can cancel for a pro-rated refund of prepaid time.
4. Real people, provenance and safety
4.1 Real people must consent. Using a real person's face or voice, as in a subject swap, trained character, cloned voice or talking avatar, needs that person's consent. We may ask for proof: a live capture of your own face or voice, or a release signed by the person. Public figures and anyone under 18 are blocked from these features, even with consent. The Acceptable Use Policy has the full rules.
4.2 Content credentials. Every output carries C2PA content credentials stating that it was made with AI, by which tool and model, and when. We keep provider watermarks where the provider requires them. Don't remove, alter or obscure credentials or watermarks, or help anyone do so. When you publish an output, follow any law or platform rule that requires AI content to be labeled.
4.3 Safety. We scan inputs and outputs automatically to enforce the Acceptable Use Policy. When we block or remove something, we tell you which rule it hit and how to appeal, and a person reviews every appeal. We have zero tolerance for child sexual abuse material. We report it to the National Center for Missing & Exploited Children (NCMEC), close the account and preserve evidence as the law requires.
5. Credits, plans and payments
5.1 Credits. Credits are prepaid units you spend on jobs. Plan credits come with a subscription each billing cycle. Pack credits are bought in credit packs. Promotional credits are free, for example at sign-up or for a referral. Credits belong to the workspace that got them. They have no cash value, can't be sold or moved between workspaces, and are refundable only under this section. Stripe processes payments; we never receive or store your full card number.
5.2 The price comes first. Every paid action shows its price in credits before you start, and a job never costs more. If the price changes before a job starts, for example because you changed a setting, we ask again. Multi-step runs, such as a Splice edit or a batch, show a total and a cap first and never cost more than the total you confirmed. A double click or retry never charges twice.
5.3 Holds and automatic refunds. A job holds its quoted credits when it starts. If it succeeds, we charge the hold or less. If it fails, we release the hold automatically. A job has failed if it errors, a model provider fails, it runs past the time limit published for its tool, or its file is empty, all black or unreadable. If we find such a problem after charging, we refund. Canceling a job before it starts releases the whole hold. Canceling a running job charges only the finished steps, never more than the quote.
5.4 Blocked content. We never charge for content blocked at input. If our output scan blocks a finished output, we refund it.
5.5 Broken results. [INCLUDE IF LIVE AT LAUNCH] If an output is broken in a way our checks missed, such as corrupted frames, missing audio you asked for, or the wrong length or resolution, report it from the result. Reports within your plan's monthly allowance of [BROKEN-RESULT ALLOWANCE] are refunded at once; a person reviews any beyond it. A result you dislike isn't broken: the price covers the attempt.
5.6 Expiry and rollover. Plan credits last for the billing cycle in which they are granted and the next one. Pack credits expire 12 months after purchase. Promotional credits expire on the date shown when granted. We spend the soonest-expiring credits first, show every expiry date in your credit history, and email you at least 7 days before plan or pack credits expire. If your subscription ends, its plan credits stay usable until they expire.
5.7 Subscriptions, trials and renewals. Subscriptions renew each monthly or annual cycle until you cancel. Before every renewal, we email you the date, the amount and a cancel link: at least 3 days ahead for monthly plans and 30 days ahead for annual plans. A trial shows when it ends and what you will pay, and we email you at least 3 days before it turns paid. Cancel before then and you pay nothing. You can cancel in one click in billing settings at any time and keep your plan until the paid cycle ends, unless you take a refund under section 5.8. Upgrades start at once with a pro-rated charge. Downgrades start at your next renewal.
5.8 Refunds. Refunds are self-serve in billing settings, carry no fee, and go back to the original payment method.
- (a) Nothing used, 14 days. Within 14 days of any payment (a new subscription, a renewal or a credit pack), you get a full refund if you haven't used credits from it.
- (b) Partly used, 14 days. Within the same 14 days, we refund the unused part. For a credit pack, that is the share of its credits you haven't used. For a subscription, it is the price times the smaller of (i) the share of that cycle's plan credits unused and (ii) the share of the cycle still to run. Example: on a $30 monthly plan with 1,000 credits, you use 400 credits and ask on day 6 of a 30-day cycle. 60% of the credits and 80% of the cycle are unused, so you receive 60%: $18.
- (c) Unused renewals. If you haven't used any credits from a renewal, you get a full refund of it at any time before its cycle ends.
- (d) Annual plans. Read 30 days for 14 days in (a) and (b). After that, if you cancel, we refund the remaining whole months, less the value at your plan's price per credit of any plan credits you used beyond those included in the months already passed.
- (e) Our errors. If we charge you by mistake, or a problem on our side stops you using what you paid for, we refund the affected amount, whenever it happened.
- (f) Effect. A refund removes the unused credits from that payment.
- (g) EEA and UK consumers. You can withdraw from a purchase within 14 days without giving a reason, using the withdrawal button in billing settings or by email. If you asked for the credits at once and used some in those 14 days, we refund the price of those you haven't used. These terms don't limit your other rights under consumer law.
5.9 Price changes and taxes. We email you at least 30 days before a subscription price increase applies to you. It starts at your first renewal after those 30 days, and you can cancel before then. A job's price is fixed once you confirm it. Where the law requires, for example for EEA and UK consumers, our prices include VAT. Elsewhere, any sales tax, VAT or GST is shown at checkout before you pay.
5.10 Failed payments and chargebacks. If a renewal payment fails, we email you and retry for up to 14 days. Your plan stays active, but no new plan credits are added. If payment still fails, the plan ends and existing credits stay usable until they expire. Please contact us before disputing a charge with your bank; we can usually fix it faster. While a dispute is open, we may pause paid features in that workspace. If the dispute is decided for you, we remove the credits from that payment. We give the payment processor our job and charge records for the dispute.
6. Your content
6.1 Definitions. "Inputs" are what you give the Service: uploads, prompts, reference media and settings. "Outputs" are what it makes for you: images, video, layers, mattes, audio, edits and project files. Together they are "your content".
6.2 You own your content. As between you and us, you own your inputs and, to the extent the law allows, your outputs. We claim no ownership of either, and we assign to you any rights we have in your outputs. Our Looks, templates and other assets stay ours (section 7), but you may use them in your outputs.
6.3 Commercial use. You can use outputs for any lawful purpose, including commercial use, on every plan, free plans included. One exception: if a model's license restricts use, the restriction applies to that model's outputs, and we show it next to the model before you run it. Music, sound effects, Looks and other assets we supply carry the license terms shown next to them.
6.4 What outputs can and can't be. Outputs come from statistical models. They can be inaccurate, unexpected, or similar to outputs others make and own. Some countries deny copyright to material without enough human authorship, so you may not be able to stop others copying parts of an output. Review outputs before you rely on or publish them.
6.5 The license you give us. You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display, transmit and secure your content, only as needed to provide, maintain and protect the Service for you. That includes sending inputs to the model providers that run your jobs, making the copies and previews tools need, showing content to people you share it with, and scanning it for safety. The license ends when you delete the content or your account, except for (a) backups until overwritten, as the Privacy Policy describes, (b) content we must keep by law or for a safety report, legal claim or investigation, and (c) public content others have already copied or remixed under these terms. We don't use your content in our marketing without your separate permission.
6.6 No training unless you opt in. We don't use your content to train or fine-tune AI models, ours or anyone else's, unless your workspace turns on its training setting. It is off by default. Only an owner or admin can turn it on, and members can see when it is on. While it is on, we may use content created from then on to improve Nineplane's own models and tools. We never give it to other companies to train theirs. Turning it off stops future use and removes that content from our training data; models already trained aren't retrained. We send content only to model providers that have agreed not to train on it.
6.7 Your responsibility for inputs. You confirm that you have the rights and permissions your inputs need, including the consents the Acceptable Use Policy requires from people in them, and that using them here won't break the law or anyone's rights. You are responsible for how you use outputs.
6.8 Sharing and Recipes. You decide what to make public. Anyone can see public posts, share links, profiles and Recipes, and search engines may index them. A Recipe is a saved set of tool settings, prompts and any reference media you include. Publishing one lets other users run it and use what they make, and lets us show it with your name in the Recipes gallery and on share pages. You can unpublish it at any time; outputs others already made stay theirs. Revenue share, affiliate and contest programs have their own creator terms.
6.9 Storage. Each plan includes the storage on the pricing page, and we keep your content until you delete it or your account closes. If you go over your limit, for example after a downgrade, we email you and give you at least 30 days to export, delete or upgrade before we delete anything. Keep your own copies of anything important.
6.10 Feedback. We may use feedback you send us without restriction or payment.
7. Our intellectual property
The Service, including its software, design, documentation, Looks (the styles Recast applies), our own Recipes, and the Nineplane name and logos, belongs to us or our licensors. We give you a personal, non-exclusive, non-transferable license to use the Service while your account is open. Don't copy, modify or reverse-engineer it (except as the law allows despite this term); copy our software, design, Looks or documentation to build a competing product; access it by automation other than Planes MCP and the API, or scrape it; get around spend caps, limits, moderation or security; or resell access, except through an app you build on the API under section 3.4. You get no rights in our trademarks.
8. Third-party services
Google and Apple sign-in, AI assistants you use with Planes MCP, and Stripe are run by others, and their terms govern your use of them. The model providers that run your jobs are our service providers. We are responsible for choosing them and for what we promise about them here.
9. Suspension and termination
9.1 You can leave at any time. Cancel your plan and delete your account in settings, after exporting your content if you wish. The only owner of a team workspace must transfer or delete it first. Deletion ends access at once, and we purge the account's content within 30 days. Unused credits end with the account, so claim any refund due under section 5.8 first.
9.2 Suspension. We may suspend an account, workspace or feature if (a) we reasonably believe it is used in serious breach of these terms or the Acceptable Use Policy, or in a way that puts people or the Service at risk; (b) the law, a court or a regulator requires it; (c) a payment dispute is open or fraud is strongly indicated; or (d) the account appears compromised. We tell you why and how to appeal, unless the law forbids it or telling you would put people at risk. We lift the suspension once the reason is gone.
9.3 Termination by us. We may close your account or workspace if you (a) upload, create or share child sexual abuse material; (b) create or share intimate images of a real person without consent; (c) commit serious or repeated breaches of the Acceptable Use Policy, following its steps; (d) are a repeat infringer under our Copyright and DMCA Policy; or (e) commit fraud, including payment fraud; or if the law requires it. We may also close a free account after 24 months with no sign-in, with 30 days' email notice.
9.4 Credits and content when we act. If we close an account under 9.3(a) to (e), its credits end without refund unless the law requires one. If we close it for any other reason, or stop offering the Service, we refund unused pack credits and prepaid subscription time. Before a shutdown, we give at least 30 days' notice and keep exports working. Unless the content itself breaks our rules, or the law or an investigation prevents it, you have 30 days to export.
9.5 What continues. Sections 6.2, 6.4, 6.5 (for content it still covers), 6.10, 10 to 13 and 15 survive.
10. Disclaimers
To the extent the law allows, the Service is provided "as is" and "as available". We make no warranties, express or implied, including of merchantability, fitness for a particular purpose, title and non-infringement. We don't promise that the Service will be uninterrupted or error-free, or that outputs will be accurate, unique, fit for your purpose or free of material others own.
This doesn't reduce our specific commitments in these terms, such as prices shown first, refunds for failed jobs and section 5.8. Some jurisdictions don't allow some of these exclusions, so they may not apply to you.
11. Limitation of liability
11.1 Indirect losses. To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if told they were possible.
11.2 Cap. To the extent the law allows, each party's total liability for all claims relating to these terms or the Service is limited to the greater of (a) the amounts you paid us in the 12 months before the event giving rise to the claim and (b) US$100.
11.3 Exceptions. 11.1 and 11.2 don't apply to (a) your obligation to pay for what you use; (b) your obligations under section 12; (c) your breach of the Acceptable Use Policy; (d) fraud, gross negligence or willful misconduct, or death or personal injury caused by negligence; or (e) any liability the law doesn't allow to be limited.
11.4 EEA and UK consumers. For consumers in the EEA or the UK, 11.1 and 11.2 don't apply. Instead, we are responsible for loss that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. We are not responsible for loss that was not foreseeable, or for business losses.
12. Indemnity
You will defend and indemnify Nineplane, its affiliates and their officers, employees and agents against third-party claims, and resulting damages, fines and reasonable costs including legal fees, to the extent they arise from your content, your use of outputs, your breach of these terms or the Acceptable Use Policy, or your violation of another's rights, including publicity and privacy rights. We will tell you promptly about a claim, let you control the defense with counsel we reasonably accept, and cooperate at your expense. You may not settle a claim in a way that admits fault for us or binds us without our written consent. This section doesn't apply to the extent a claim results from our own breach or fault. For consumers, it applies only as far as local law allows.
13. Disputes
13.1 Talk to us first. Most problems can be fixed quickly. Before starting a claim, send a notice to [CONTACT EMAIL] or [ADDRESS] with your name, account email, what went wrong and what you want. We will do the same before any claim against you. We will both try in good faith to resolve it for 60 days, and time limits for bringing the claim pause meanwhile.
13.2 Governing law. These terms are governed by the laws of the State of [STATE] and applicable US federal law, without regard to conflict-of-laws rules. Consumer protections that the law where you live doesn't allow a contract to override still apply.
13.3 Where disputes are decided. [COUNSEL TO CHOOSE OPTION A OR OPTION B AND DELETE THE OTHER]
Option A: courts. Any dispute not resolved under 13.1 will be decided exclusively by the state or federal courts in [COUNTY], [STATE], and both parties consent to their jurisdiction. Either party may instead bring an individual claim in small claims court where you live. EEA and UK consumers can also sue in their local courts.
Option B: individual arbitration. Any dispute not resolved under 13.1 will be resolved by binding arbitration administered by [ARBITRATION PROVIDER] under its consumer rules (for individuals) or commercial rules (for organizations), by video or in [COUNTY], [STATE]. Either party may still use small claims court, or ask a court to stop infringement or misuse of intellectual property. Claims may be brought only individually, never in a class, collective or representative proceeding. For claims by individuals, we pay all arbitration fees above the cost of a court filing fee. Twenty-five or more similar demands from the same or coordinated counsel are administered in batches under the provider's mass-arbitration rules. You can opt out within 30 days of first accepting these terms by emailing [CONTACT EMAIL] with your name and account email. If the class ban is unenforceable for a claim, that claim goes to court under Option A. Option B doesn't apply to EEA or UK consumers.
14. Changes to these terms
For material changes, such as to pricing rules, refunds, ownership, training or disputes, we email you and show a notice in the studio at least 30 days before they take effect. Changes the law requires, or that address safety or security, can take effect sooner, and we tell you promptly. Minor changes, such as typo fixes, take effect when posted. Each version is dated; past versions are at /legal/history. If you don't accept a material change, cancel before it takes effect for a pro-rated refund of prepaid subscription time. Otherwise the new terms apply from their effective date. A change to these terms will never switch on training for a workspace.
15. General
These terms and the documents in section 1.2 are our whole agreement about the Service. If any part is unenforceable, the rest stands, and not enforcing a term right away doesn't waive it. You may not transfer these terms without our written consent. We may transfer them to a company that acquires all or most of the Service and agrees to honor them, and we will tell you. Neither party is responsible for delays caused by events beyond its reasonable control, but refunds under section 5 still apply. You must follow US and other applicable export control and sanctions laws. We send notices to your account email or in the studio; send legal notices to [CONTACT EMAIL] and [ADDRESS]. If we provide a translation, the English version controls unless local law says otherwise. We are independent parties, and these terms give no rights to anyone else.
16. Contact
